Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, dashboards, data APIs, and related services (collectively, the "Service") operated by Off Earth Data, a Delaware corporation ("Off Earth Data", "we", "us"). By creating an account, accessing the Service, or clicking to accept these Terms, you agree to be bound by them and by our Acceptable Use Policy and Privacy Policy. If you do not agree, do not use the Service.

1. Service Description

Off Earth Data provides a data API and analytics platform for space-economy intelligence, including company activity signals, scoring, and derived indices assembled from public and licensed data sources. The Service is provided for informational and analytical purposes only. It does not constitute investment, legal, insurance, or other professional advice, and you should not rely on it as the sole basis for any decision.

2. Eligibility

You must be at least 18 years old to use the Service. You may use the Service in an individual capacity or on behalf of a business. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

3. Accounts

Accounts are created through our authentication provider (Supabase) and require a valid email address, which must be verified before full access is granted. You are responsible for maintaining the confidentiality of your credentials and API keys and for all activity that occurs under your account. Notify us promptly at security@offearthdata.com if you suspect unauthorized use of your account.

4. Subscriptions and Billing

Paid access to the Service is offered on tier-based, monthly recurring subscriptions billed through Stripe, our payment processor. Subscriptions renew automatically each billing period until cancelled. You may cancel or change tiers at any time through your account dashboard; cancellation takes effect at the end of the current billing period. Prices and tier features may change with notice; changes apply from your next billing period.

5. Refunds

If you downgrade to a lower tier mid-period, we credit the prorated difference against future charges. We do not otherwise provide refunds for partial billing periods, except where a charge resulted from a billing error on our side, in which case we will refund the erroneous amount. Nothing in this section limits any non-waivable statutory rights you may have.

6. Termination

You may stop using the Service and revoke your API keys at any time. We may suspend or terminate your access for violation of these Terms or the Acceptable Use Policy with 7 days' notice; for severe violations (including security abuse, unlawful use, or non-payment after notice) we may suspend or terminate immediately. On termination, your right to use the Service and any data licenses granted under these Terms end, and outstanding fees remain payable. Sections 7, 9, 10, 11, 12, and 13 survive termination.

7. Intellectual Property

We own the Service, including the API, data structures, schemas, scoring methodologies, indices, documentation, and site content. You own the software, integrations, and analyses you build on top of the Service. Subject to these Terms and the Acceptable Use Policy, we grant you a limited, non-exclusive, non-transferable license to access the Service and to use data obtained through it for your internal business purposes and, where your tier permits, in derivative analysis you distribute. Redistribution or resale of raw data requires an enterprise license addendum. All rights not expressly granted are reserved.

8. Acceptable Use

Your use of the Service is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference.

9. Warranty Disclaimer and Service Levels

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. Data is assembled from third-party and public sources and may contain errors or gaps. We target reasonable uptime and support-response service levels for paid tiers as described in your tier's published SLA targets; SLA targets are goals, not warranties, unless expressly stated otherwise in an enterprise agreement.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS CAPPED AT THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

11. Indemnification

You will defend, indemnify, and hold harmless Off Earth Data and its officers, directors, and employees from claims, damages, and reasonable costs (including attorneys' fees) arising out of your misuse of the Service, your violation of these Terms or the Acceptable Use Policy, or your violation of applicable law or third-party rights.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

13. Dispute Resolution; Arbitration; Class-Action Waiver

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, on an individual basis. YOU AND OFF EARTH DATA EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. Either party may seek relief in small-claims court or seek injunctive relief for intellectual-property or security violations in a court of competent jurisdiction. If the class-action waiver is found unenforceable for a particular claim, that claim (and only that claim) proceeds in court.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced by email or in-product notice with the new version number and effective date; continued use of the Service after the effective date constitutes acceptance. The current version is always available at this page.
